These Terms of Service form a legally binding agreement between you and GOO Advisory Ltd. By accessing our site at goo or engaging our services, you accept these terms. If you do not agree, please do not use the site or services.

1. Acceptance and scope

These terms govern your use of our website and any consulting, implementation, or advisory services we provide. Supplemental documents such as statements of work or order forms may define specific deliverables, timelines, and fees. In the event of a conflict, a signed statement of work will prevail for that engagement. You may use the site only for lawful purposes and in accordance with applicable regulations. If you access the site on behalf of a business, you represent that you have authority to bind that business to these terms.

2. Services and client responsibilities

We provide analytics, governance, and finance modeling services designed to respect privacy and advertising policies. You agree to provide timely access to relevant systems and accurate information, and to designate a point of contact for approvals. Unless explicitly managed by us in writing, you remain responsible for your platforms, security settings, ads, and content. We rely on your inputs to produce recommendations; results depend on factors outside our control, including market conditions and product changes.

3. Fees, invoicing, and taxes

Fees are outlined in the applicable statement of work or order form. Unless otherwise stated, invoices are due within 14 days. Late payments may incur interest at the lesser of 1.5% per month or the maximum allowed by law. Fees are exclusive of applicable taxes, which you are responsible to pay. We may suspend work for non-payment after reasonable notice.

4. Intellectual property

We retain all rights in our pre-existing materials, methods, and tooling. Upon full payment, you receive a non-exclusive, worldwide licence to use deliverables created specifically for you during the engagement for your internal business purposes. You may not resell or publicly distribute our materials without written permission. You grant us a limited licence to use your name and logo in client lists, provided we do not disclose confidential information.

5. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect such information with at least the same care it uses for its own confidential information and will use it only to perform obligations under these terms. Confidentiality obligations do not apply to information that is public, already known without restriction, independently developed, or rightfully obtained from a third party without duty of confidentiality. If required by law to disclose, the receiving party will provide notice where legally permissible.

6. Data protection

We process personal data in accordance with our Privacy Policy and the UK GDPR. When acting as a processor for client data, we will follow documented instructions and implement appropriate technical and organisational measures. The parties agree to execute additional data processing terms if required by law. You are responsible for having a lawful basis to share any personal data with us.

7. Advertising and platform compliance

We design measurement to align with major platform policies and to respect user consent. However, each platform may change policies or enforcement at any time. You remain responsible for your ad accounts and creative. We cannot guarantee approval or performance outcomes. Our work avoids deceptive practices, clickbait, or intrusive pop-ups that conflict with user trust.

8. Warranties and disclaimers

We warrant that we will perform services with reasonable skill and care. Except as expressly stated, the site and services are provided on an “as is” and “as available” basis. We disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, nor that results will meet your expectations.

9. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, even if advised of the possibility. Except for unpaid fees, breach of confidentiality, or infringement of intellectual property, each party’s total liability under these terms will not exceed the fees paid or payable to us for the twelve months preceding the event giving rise to the claim.

10. Term, termination, and suspension

These terms apply while you use the site and for any service engagement until completion or termination under the applicable statement of work. Either party may terminate an engagement for material breach if not cured within 14 days after written notice. Upon termination, you will pay for services performed and reasonable, non-cancellable costs incurred up to termination. Sections intended to survive (including confidentiality, IP, fees, and limitation of liability) will remain in effect.

11. Governing law and disputes

These terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or relating to these terms, except that either party may seek injunctive relief in any jurisdiction to protect confidential information or intellectual property.

12. Changes to terms

We may update these terms to reflect legal, technical, or business changes. When we make material updates, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Continued use of the site after changes take effect constitutes acceptance of the revised terms.
